Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, mobile applications, software, services, features, content, and related products provided by Plenji LLC ("Plenji," "we," "us," or "our"), collectively the "Services."

By creating an account, accessing or using the Services, clicking an acceptance button or checkbox, or otherwise indicating your acceptance of these Terms, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Services.

1. Eligibility and accounts

You must be at least 18 years old and legally capable of entering into a binding agreement to create a Plenji account.

You are responsible for maintaining the confidentiality of your login credentials and for all activity occurring through your account. You agree to provide accurate account information and to promptly update information that changes. You may not access another person's account without authorization.

A household may include several members. The household owner manages who belongs to the household. The billing manager manages the household's subscription. Information added to a household, such as inventory, shopping lists, product information, and photos, belongs to the household and remains available to its other members. The household owner is responsible for making sure that members are authorized to access or change the household's information.

Children may use the Services only through an adult household member's account and under that adult's supervision. Plenji does not knowingly create accounts for, or collect personal information from, children under 13.

2. The Plenji service

Plenji provides tools intended to help users organize and manage household information, including household inventory, groceries, consumer products, quantities, shopping needs, product information, expiration or date information, and related household activities.

Features may include barcode scanning, image recognition, automated product identification, artificial intelligence, recommendations, notifications, shopping lists, third-party integrations, and other automated functionality.

The Services are organizational and convenience tools. They are not intended to replace your own judgment, inspection, or verification of household products.

3. Food safety, expiration dates, allergens, and product information

Plenji is not a food safety service, healthcare service, nutrition service, product safety service, or professional advisory service.

Information displayed by Plenji concerning food freshness, expiration dates, "best by" dates, "use by" dates, quantities, ingredients, allergens, recalls, storage conditions, product condition, or other product characteristics may be incomplete, outdated, incorrectly entered, incorrectly identified, automatically generated, or otherwise inaccurate.

When you don't enter a date, Plenji may suggest one based on how long similar products typically last. Suggested dates are estimates. They are not the date printed on the package and do not account for how a particular item was handled or stored.

YOU ARE SOLELY RESPONSIBLE FOR DETERMINING WHETHER FOOD OR ANY OTHER PRODUCT IS SAFE, APPROPRIATE, UNEXPIRED, UNDAMAGED, PROPERLY STORED, AND SUITABLE FOR USE OR CONSUMPTION.

You should inspect products yourself and consult the manufacturer's packaging, instructions, recalls, warnings, government guidance, or other authoritative information when appropriate. Do not consume or use a product merely because Plenji indicates that the product is available, unexpired, safe, or otherwise suitable for use.

Expiration reminders and similar features are convenience features only. Plenji does not guarantee that a reminder will be generated, delivered, delivered on time, or contain accurate information.

Users with food allergies, dietary restrictions, health conditions, or other circumstances in which incorrect product information could create a risk of injury should independently verify all relevant product information before use or consumption.

4. User content

"User Content" means information or material that you submit, upload, photograph, scan, enter, transmit, or otherwise provide through the Services. User Content may include:

photographs of products, packaging, labels, receipts, shelves, storage areas, or other household items;
barcode and UPC information;
product names, brands, categories, quantities, package sizes, and descriptions;
expiration dates, prices, and purchase information;
corrections to product information;
shopping and inventory information;
household information; and
comments, feedback, reports, or other information you submit.

You retain ownership of User Content to the extent that you own it.

By submitting User Content, you grant Plenji a worldwide, nonexclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, process, analyze, modify, adapt, format, display, transmit, and otherwise use the User Content as reasonably necessary to operate, maintain, secure, improve, develop, and provide the Services. This license includes the right to use service providers and technology providers that process information on Plenji's behalf.

5. Product images and catalog contributions

Because Plenji maintains and improves a product catalog used by its customers, certain information you submit may contribute to that catalog.

When you upload a photograph or other information about a consumer product, you authorize Plenji to use that photograph and the associated product information to identify the product, create or improve product records, detect errors, improve product-recognition technology, and improve the Services.

You further authorize Plenji to use photographs of products, product packaging, labels, and similar product-focused images as part of Plenji's product catalog, including for display to other Plenji users, provided that Plenji reasonably determines that the image does not contain information that identifies you or another individual. Plenji may crop, resize, enhance, remove backgrounds from, correct, transform, or otherwise modify submitted product images for these purposes.

Plenji may retain product information, product characteristics, corrections, catalog records, statistical information, and other information derived from User Content even after the original User Content or account has been deleted, provided such retained information does not identify you personally.

You represent that you have the right to submit User Content and authorize the uses described in these Terms.

Do not upload photographs containing people, confidential documents, payment cards, private correspondence, government identification, medical information, or other sensitive information unless the applicable Plenji feature specifically requests that information.

6. Automated processing and artificial intelligence

Plenji may use automated systems, machine learning, artificial intelligence, computer vision, third-party technology providers, and similar tools to process User Content and provide features of the Services. These systems may, for example:

identify products from photographs or barcodes;
categorize products;
estimate product attributes and typical shelf life;
extract text or information from images;
identify duplicate product records;
suggest corrections;
generate descriptions or other content; and
assist with shopping, inventory, or household recommendations.

Plenji uses third-party artificial-intelligence and technology providers to process product photos, barcodes, and related information on our behalf. Our Privacy Policy lists these providers and describes how they may use information.

Automated systems can make mistakes. Output produced through automated or artificial-intelligence features should not be assumed to be correct. You are responsible for reviewing information that is important to you and correcting inaccurate information when appropriate.

7. De-identified and aggregated information

To the extent permitted by applicable law, Plenji may create aggregated, statistical, or de-identified information from use of the Services, and may use it for legitimate business purposes, including operating the Services, analytics, research, product development, improving product recognition, understanding household inventory trends, improving the product catalog, and developing new features.

Plenji will not attempt to use de-identified information to identify an individual except as permitted by applicable law.

8. Feedback

If you provide suggestions, ideas, feature requests, comments, or other feedback concerning Plenji or the Services, you grant Plenji the unrestricted right to use that feedback without compensation or obligation to you.

9. Product catalog and third-party information

Plenji may obtain or generate product information from users, manufacturers, retailers, service providers, publicly available sources, automated systems, and other sources. Plenji does not warrant that product information is complete, accurate, current, or applicable to the exact product in your possession.

Products with similar names, packaging, sizes, or barcodes may differ. Manufacturers may modify ingredients, packaging, warnings, formulations, quantities, nutritional information, or other characteristics without notice to Plenji. You should rely on the physical product and manufacturer information when accuracy is important.

10. Shopping lists and purchasing features

Plenji may provide shopping lists, product suggestions, store information, price tracking, retailer links, purchasing tools, or integrations with third-party shopping or delivery services.

Plenji does not guarantee product availability, retailer pricing, delivery times, substitutions, inventory, order accuracy, or the quality or safety of goods sold by third parties. Prices you record in Plenji are for your reference and may not reflect a retailer's current price.

Unless Plenji expressly states otherwise, purchases from third parties are transactions between you and the applicable retailer or service provider. Third-party terms and privacy practices may apply.

11. Trials, subscriptions, and payment

New households receive a free trial. No payment method is required to start a trial, and you will not be charged unless you subscribe.

Subscriptions are purchased on plenji.com, not through the Apple App Store or Google Play. Prices, billing periods, included features, and other subscription terms will be disclosed when you subscribe.

If you purchase a recurring subscription, you authorize Plenji or its payment processor to charge the applicable subscription fee and taxes to your selected payment method at the beginning of each billing period until you cancel. Subscriptions automatically renew unless canceled.

You can cancel at any time from your household's billing page on plenji.com. Cancellation prevents future renewals but ordinarily does not result in a refund for a billing period that has already begun, except where required by law or expressly stated otherwise.

If your trial ends or your subscription ends, your household becomes view-only: you can still see your information, but you can't make changes until you subscribe. We don't delete your household's information because a trial or subscription ended.

Plenji may change subscription pricing or features upon advance notice as required by applicable law. Pricing changes ordinarily take effect with a future billing period rather than retroactively. Promotional offers and introductory pricing may be subject to additional terms disclosed at the time of enrollment.

12. Taxes

Subscription fees may be subject to sales tax or other taxes depending on your location and applicable law. Plenji may collect and remit taxes when required.

13. Acceptable use

You may not use the Services to:

violate applicable law;
infringe intellectual-property, privacy, publicity, or other rights;
upload malicious software or harmful code;
attempt to gain unauthorized access to Plenji systems or another account;
interfere with or disrupt the operation of the Services;
bypass security, rate limits, subscription restrictions, usage limits, or access controls;
scrape, harvest, copy, download, or systematically extract Plenji data except as expressly authorized;
use bots, scripts, crawlers, automated tools, or similar technology to access or interact with the Services without authorization;
reverse engineer the Services except where applicable law expressly permits it;
impersonate another person;
submit knowingly false, misleading, malicious, or deceptive catalog information;
intentionally submit false product corrections, reports, images, barcodes, or other information designed to corrupt, manipulate, degrade, or interfere with the Plenji product catalog or Services;
abuse reporting, feedback, support, image-upload, artificial-intelligence, scanning, or other features;
use the Services in a manner that creates excessive or unreasonable system usage or costs;
attempt to evade subscription, account, household, location, artificial-intelligence, storage, or usage restrictions;
create additional accounts to circumvent a suspension, termination, restriction, or usage limit;
upload unlawful, harmful, threatening, fraudulent, or infringing material; or
use the Services in a way reasonably likely to harm Plenji, its users, service providers, systems, reputation, or third parties.

14. Intellectual property

Except for User Content, Plenji and its licensors own all rights in the Services, including software, designs, trademarks, logos, interfaces, databases, product-catalog structure, compilations, documentation, and other Plenji content.

Subject to these Terms, Plenji grants you a limited, personal, nonexclusive, nontransferable, revocable right to access and use the Services for lawful household and personal purposes. These Terms do not transfer ownership of Plenji intellectual property to you.

15. Service availability

Plenji endeavors to provide a reliable service but does not guarantee uninterrupted or error-free operation. The Services may occasionally be unavailable because of maintenance, software defects, network problems, third-party outages, security events, upgrades, or circumstances outside Plenji's control. Features may be added, modified, suspended, or discontinued.

Some features of the mobile app work without a connection and save your changes on your device until it reconnects. Changes that haven't reached Plenji can be lost if the app is removed, you sign out, or the device is lost before it reconnects.

You are responsible for maintaining any information that you consider essential outside Plenji when loss of access to that information would cause significant harm.

16. Notifications

Plenji may provide push notifications, email alerts, text messages, expiration notices, inventory notices, shopping reminders, or similar notifications. Delivery depends on factors outside Plenji's control, including your device, network connection, operating system, email provider, notification settings, and third-party services.

You should not rely on a Plenji notification as the sole method of remembering or verifying something important.

17. Third-party services

The Services may integrate with or contain links to services operated by third parties, including authentication providers, retailers, payment processors, artificial-intelligence providers, shopping services, and other technology providers. Plenji does not control third-party services and is not responsible for their availability, security, content, actions, products, terms, or privacy practices. Your use of a third-party service may be governed by separate terms between you and that third party.

18. Account suspension, termination, and deletion

You may stop using Plenji at any time. You can delete your account at any time from Settings in the mobile app or from your account page on plenji.com.

Plenji may suspend, restrict, disable, or terminate your account or access to some or all of the Services if we reasonably determine that:

you have violated these Terms or any applicable policy;
you are misusing, abusing, exploiting, or attempting to manipulate the Services;
your activity is fraudulent, deceptive, malicious, excessive, disruptive, or otherwise inconsistent with the intended use of the Services;
you are using automated tools, scripts, bots, scraping tools, or other methods to access or extract data from the Services without authorization;
you are attempting to circumvent subscription limits, usage limits, security controls, access restrictions, or technical safeguards;
your activity imposes or may impose an unreasonable burden on Plenji's systems, infrastructure, service providers, or other users;
you submit intentionally false, misleading, malicious, or abusive product information, images, reports, corrections, or other User Content;
your use threatens the security, integrity, availability, reputation, or operation of the Services;
your use may expose Plenji, another user, or a third party to legal, regulatory, financial, or security risk;
payment is past due or reversed;
we are required to do so by law, court order, government request, or the requirements of a service provider; or
continued access would otherwise create a material risk to Plenji or the Services.

Plenji may take these actions with or without prior notice when we reasonably believe immediate action is necessary to protect the Services, Plenji, other users, or third parties. Where circumstances reasonably permit, Plenji may provide notice and an opportunity to correct a violation before permanently terminating an account.

Suspension or termination does not entitle you to a refund except where required by law or expressly stated otherwise. Plenji may take reasonable technical measures to prevent a suspended or terminated user from creating additional accounts for the purpose of circumventing enforcement actions.

Sections of these Terms that by their nature should survive termination will survive, including provisions concerning intellectual property, User Content already incorporated into de-identified or shared catalog information, disclaimers, limitations of liability, indemnification, and dispute provisions.

19. Data following account deletion or termination

Your ability to access User Content may end when your account is deleted or terminated.

Deleting your account removes your account and personal information as described in our Privacy Policy, but does not delete household information that other members continue to use. Inventory, shopping lists, and other household information stay with the household no matter which member added them. If you are the household owner or billing manager and other members remain, you will choose a member to take over that role before your account is deleted.

If you are the last member of a household, the household is kept for 30 days after your account is deleted, in case you change your mind; email support@plenji.com during that time to restore it. After 30 days, the household's information is permanently erased, except for information we keep as described below.

Plenji may retain information for a reasonable period when required for security, fraud prevention, backups, legal compliance, dispute resolution, accounting, or enforcement of these Terms. De-identified information and product-catalog information that does not identify you may be retained indefinitely. Personal information will otherwise be handled according to the Privacy Policy and applicable law.

20. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." PLENJI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND RELIABILITY.

PLENJI DOES NOT WARRANT THAT:

THE SERVICES WILL ALWAYS BE AVAILABLE, SECURE, OR ERROR FREE;
PRODUCT INFORMATION WILL BE COMPLETE OR ACCURATE;
AUTOMATED IDENTIFICATION WILL IDENTIFY THE CORRECT PRODUCT;
INVENTORY QUANTITIES WILL BE ACCURATE;
EXPIRATION INFORMATION OR NOTIFICATIONS WILL BE ACCURATE OR TIMELY;
INFORMATION WILL PREVENT FOOD SPOILAGE, WASTE, ILLNESS, ALLERGIC REACTIONS, OR OTHER HARM; OR
DATA WILL NEVER BE LOST.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS, SO SOME OF THESE DISCLAIMERS MAY NOT APPLY TO YOU.

21. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PLENJI LLC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR OTHER INTANGIBLE LOSS ARISING FROM OR RELATING TO THE SERVICES.

THIS INCLUDES, TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLAIMS ARISING FROM:

INACCURATE INVENTORY INFORMATION;
INACCURATE PRODUCT IDENTIFICATION;
INCORRECT OR ESTIMATED EXPIRATION OR DATE INFORMATION;
FAILURE TO PROVIDE A NOTIFICATION;
SPOILED, EXPIRED, RECALLED, CONTAMINATED, OR UNSAFE FOOD;
ALLERGEN OR INGREDIENT INFORMATION;
USER-ENTERED INFORMATION;
AUTOMATED OR ARTIFICIAL-INTELLIGENCE OUTPUT;
THIRD-PARTY SERVICES;
LOSS OR CORRUPTION OF DATA; OR
UNAUTHORIZED ACCOUNT ACCESS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PLENJI'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU ACTUALLY PAID TO PLENJI FOR THE SERVICES DURING THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) $100.

THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE THEORY OF LIABILITY, INCLUDING CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, AND EVEN IF PLENJI HAS BEEN ADVISED THAT DAMAGES ARE POSSIBLE. NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT LEGALLY BE EXCLUDED OR LIMITED.

22. Assumption of responsibility

You acknowledge that Plenji is an organizational tool and that household products exist and change independently of the information stored within the Services.

You remain responsible for physically inspecting household items, maintaining appropriate food-storage conditions, following product instructions and warnings, checking recalls when appropriate, and deciding whether to consume, discard, purchase, or use an item. You assume the risks associated with making decisions based solely on information stored in or generated by the Services.

23. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Plenji LLC and its members, managers, officers, employees, and affiliates from third-party claims, damages, liabilities, and reasonable expenses arising from:

User Content that you submit in violation of another person's rights;
your unlawful use of the Services;
your material violation of these Terms; or
fraud or intentional misconduct committed through your account.

This provision does not require you to indemnify Plenji for conduct for which indemnification cannot lawfully be required.

24. Privacy

Our collection, use, disclosure, retention, and protection of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. It explains the categories of information we collect, why we process them, the categories of parties with whom information may be shared, retention practices, and privacy rights that may apply to you.

25. Copyright and intellectual-property complaints

If you believe material available through Plenji infringes your copyright or other intellectual-property rights, contact us at legal@plenji.com. Please include:

your name and contact information;
a description of the work or right you believe is infringed;
where the material appears in Plenji, in enough detail for us to find it; and
a statement that you believe in good faith that the use is not authorized.

Plenji may remove material that it reasonably believes infringes the rights of another person, and may suspend or terminate the accounts of users who repeatedly submit infringing material.

26. Changes to these Terms

Plenji may update these Terms from time to time. If a change is material, we will provide reasonable notice before the change becomes effective when required by applicable law, and we will update the date at the top of this page.

Your continued use of the Services after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law. If applicable law requires affirmative consent to a change, we will request that consent.

27. Electronic communications

You agree that Plenji may provide agreements, disclosures, notices, receipts, subscription confirmations, and other communications electronically, including through the Services or by email. You may retain copies of these Terms and other electronic communications for your records.

28. Governing law

Except to the extent applicable law provides otherwise, these Terms and disputes arising from them are governed by the laws of the State of Minnesota, without regard to conflict-of-law principles.

29. Dispute resolution and venue

Before filing a lawsuit relating to these Terms or the Services, you and Plenji agree to make a reasonable good-faith effort to resolve the dispute informally. You may begin this process by contacting legal@plenji.com.

Unless applicable law provides otherwise, any judicial proceeding arising out of or relating to these Terms or the Services will be brought in a state or federal court with jurisdiction in Minnesota, and you consent to the jurisdiction of those courts. Nothing in this section prevents either party from seeking relief in small claims court when eligible.

30. Severability

If any provision of these Terms is found unenforceable, the unenforceable portion will be interpreted or limited to the minimum extent necessary to make it enforceable when permitted by law. If that is not possible, the provision will be severed, and the remaining provisions will remain in effect.

31. No waiver

Plenji's failure to enforce a provision of these Terms does not waive its right to enforce that provision later.

32. Assignment

You may not assign your rights under these Terms without Plenji's prior written consent. Plenji may assign these Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, financing transaction, or other transfer of the business, subject to applicable law.

33. Entire agreement

These Terms, together with the Privacy Policy and any additional terms presented for a particular feature or subscription, constitute the entire agreement between you and Plenji concerning the Services.

34. Mobile app stores

If you downloaded the Plenji app from the Apple App Store, these Terms are between you and Plenji, not Apple. Apple is not responsible for the app or its content, and has no obligation to provide maintenance or support for it. To the extent any warranty applies and is not effectively disclaimed, Apple's only obligation is to refund the purchase price of the app, if any. Apple is not responsible for addressing any claims relating to the app, including product liability claims, claims that the app fails to conform to legal or regulatory requirements, consumer protection or privacy claims, or claims that the app infringes a third party's intellectual-property rights. You must comply with the App Store's terms of use. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

If you downloaded the app from Google Play, these Terms are between you and Plenji, not Google, and Google Play's terms of service also apply to your use of Google Play.
